Welcome to the website for Ideaction Consulting (the “Site”), owned and operated by Ideaction Consulting, LLC (hereinafter referred to as “Company,” “we,” “us,” or “our”). The Site provides sales coaching, marketing services, and access to AI-powered digital tools (collectively, the “Services”). The following terms and conditions, together with our Privacy Policy and any notices contained or referenced herein or therein, govern your access and use of the Site and any Services available through it. 8. AI-Powered Tools and Services
a. Description
We offer automated AI-powered tools (“AI Audits”) that analyze materials such as sales transcripts, proposals, websites, and related content submitted by you. These tools use third-party artificial intelligence APIs to generate reports and feedback.
b. Data Submission and Ownership
By using AI Audits, you confirm that:
You have the right to submit the materials.
You grant Company a limited, revocable license to process the content solely to deliver your report.
You retain ownership of your original materials.
c. Data Handling and Privacy
Submitted content is processed via secure API connections to third-party AI providers (e.g., OpenAI). We do not use your data to train AI models. Inputs and reports are automatically deleted from our systems within 24–48 hours after delivery unless you consent to longer retention for account history or research improvement.
d. Accuracy and Limitations
AI reports are generated automatically and are intended for educational and informational purposes only. While designed for accuracy and insight, they may contain errors or omissions. Company makes no guarantee that results will improve business performance or sales outcomes.
e. Refunds
Because reports are created instantly and digitally, all AI Audit sales are final. If a report cannot be generated due to a technical error, we will re-run the analysis or issue a refund at our discretion.
f. Limitation of Liability
You acknowledge that AI Audits involve automated processing. Company shall not be liable for decisions made based on AI reports or for indirect, consequential, or incidental damages resulting from use of these tools.

9. Termination
We may terminate or restrict access to the Site or Services (including AI tools) at any time and without notice, for any reason.

10. Disclaimer of Warranties
THE SITE, ITS CONTENT, THE SERVICES, AND ALL AI-POWERED TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COMPANY MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO GUARANTEE IS MADE REGARDING BUSINESS RESULTS, SALES OUTCOMES, OR BOOKING PERFORMANCE.

11. Limitation of Liability
To the fullest extent permitted by law, Company and its affiliates, officers, and employees shall not be liable for any indirect, special, incidental, or consequential damages, including lost profits or business interruption. Company’s total aggregate liability shall not exceed the amount you paid for the Services giving rise to the claim.

12. Indemnification
You agree to indemnify and hold harmless Company and its affiliates from any claims or damages arising out of your violation of these Terms or misuse of the Site or Services.

13. Governing Law and Jurisdiction
These Terms and your use of the Site and Services are governed by Texas law. You agree to submit to the jurisdiction of courts located in Dallas County, Texas.

14. Dispute Resolution
Before filing any legal claim, you agree to attempt informal resolution by contacting us directly. At our discretion, unresolved disputes may be submitted to confidential, binding arbitration under the Rules of the American Arbitration Association in Texas.

15. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Company, superseding all prior agreements.

16. Severability
If any provision of these Terms is found invalid, the remaining provisions remain enforceable.

17. Changes and Updates
We may update these Terms at any time. Material changes will be posted on the Site or sent by email. Continued use of the Site after such notice constitutes acceptance.
